TUCK AIR, LLC TERMS AND CONDITIONS


Effective Date: May 29, 2026


These Terms and Conditions govern all services, repairs, maintenance, installations, equipment sales, and related work performed by TUCK AIR, LLC ("TUCK AIR, LLC") for the Customer.

By authorizing services, signing a proposal, estimate, invoice, service ticket, maintenance agreement, or otherwise accepting work performed by TUCK AIR, LLC, the Customer agrees to be bound by these Terms and Conditions.


1. AUTHORIZATION OF WORK


The Customer represents that they are the owner of the property or have authority to authorize the requested work.


The Customer acknowledges that all work authorized has been completed satisfactorily and agrees to pay all charges associated with labor, materials, equipment, permits, taxes, shipping charges, and other applicable fees.


Any disputes regarding services performed, invoices issued, or materials supplied must be submitted in writing within thirty (30) days of the invoice date. Failure to provide written notice within thirty (30) days constitutes acceptance of the work and all associated charges.


2. PAYMENT TERMS


Unless otherwise agreed to in writing, all invoices are due upon receipt.


TUCK AIR, LLC reserves the right to require deposits on equipment purchases, installations, special-order materials, and large projects.


Accepted payment methods may include cash, check, credit card, ACH payment, financing programs, or other approved payment methods.

Returned checks or rejected payments may be subject to additional fees permitted by law.


3. LATE PAYMENTS


Any unpaid balance may be assessed a finance charge equal to the greater of:

  • 1.5% per month on the outstanding balance; or
  • $35.00 per month,
  • subject to applicable Mississippi law.


The Customer agrees to pay all reasonable costs incurred by TUCK AIR, LLC in collecting past-due accounts, including collection agency fees, attorney's fees, court costs, filing fees, arbitration expenses, and other legal costs where permitted by law.


Accounts remaining unpaid for sixty (60) days or more may be referred for collections or legal action.


4. OWNERSHIP OF EQUIPMENT AND MATERIALS


Until payment is received in full, all equipment, parts, materials, and products supplied by TUCK AIR, LLC shall remain the property of TUCK AIR, LLC to the fullest extent permitted by law.


TUCK AIR, LLC reserves all rights available under applicable law regarding unpaid equipment, materials, and services.


5. ACCESS TO PROPERTY


The Customer grants TUCK AIR, LLC, its employees, agents, subcontractors, and representatives reasonable access to the property for the purpose of:

  • Performing authorized work;
  • Inspecting completed work;
  • Servicing installed equipment;
  • Recovering equipment where legally permitted;
  • Exercising rights related to unpaid balances.


The Customer agrees to provide safe and unobstructed access to equipment and work areas.


6. LIMITED LABOR WARRANTY


Unless otherwise stated in writing, labor performed by TUCK AIR, LLC is warranted for thirty (30) days from the date of service.


This warranty applies only to workmanship performed by TUCK AIR, LLC and does not extend manufacturer warranties.


The labor warranty becomes void if:

  • Equipment is modified, altered, abused, neglected, or misused;
  • Repairs are performed by another contractor during the warranty period;
  • Manufacturer specifications are not followed;
  • The failure is caused by conditions unrelated to the original repair.

7. MANUFACTURER WARRANTIES


Equipment, parts, and materials furnished by TUCK AIR, LLC are covered only by the applicable manufacturer's warranty, if any.

TUCK AIR, LLC makes no independent warranty beyond any labor warranty specifically stated in writing.


Warranty processing may require registration, inspection, shipping, labor charges, or other requirements imposed by the manufacturer.


8. EXCLUSIONS FROM WARRANTY AND LIABILITY


TUCK AIR, LLC shall not be responsible for failures, damages, or expenses resulting from:

  • Acts of God;
  • Hurricanes, tornadoes, floods, lightning, or severe weather;
  • Fire, smoke, vandalism, theft, or accidents;
  • Power surges, utility interruptions, or electrical issues;
  • Improper use of equipment;
  • Lack of maintenance;
  • Dirty or clogged air filters;
  • Structural defects;
  • Water intrusion;
  • Existing code violations;
  • Pest or rodent damage;
  • Corrosion;
  • Normal wear and tear;
  • Conditions beyond the control of TUCK AIR, LLC.


9. MOLD, MILDEW, AIR QUALITY, AND ENVIRONMENTAL CONDITIONS


TUCK AIR, LLC is not licensed or qualified to inspect, test, identify, certify, or remediate:

  • Mold;
  • Mildew;
  • Fungus;
  • Bacteria;
  • Viruses;
  • Asbestos;
  • Lead;
  • Indoor air contaminants; or
  • Other environmental hazards.


The Customer agrees that TUCK AIR, LLC shall not be liable for damages, injuries, illnesses, or property losses related to such conditions.


10. PROPERTY DAMAGE DISCLAIMER


While reasonable care will be exercised, TUCK AIR, LLC shall not be liable for incidental, consequential, indirect, or special damages arising from:

  • Equipment failure;
  • Water leaks;
  • Drain line backups;
  • Condensate overflow;
  • Frozen coils;
  • Sewer line issues;
  • Plumbing failures;
  • Electrical failures;
  • Loss of use of property;
  • Business interruption;
  • Loss of profits.


Customers are encouraged to maintain adequate homeowners, renters, and commercial insurance coverage.


11. CODE COMPLIANCE


TUCK AIR, LLC performs work in accordance with applicable codes and standards in effect at the time services are rendered.


The Customer understands that future code changes, government regulations, manufacturer requirements, or insurance requirements may require additional modifications not included in the original scope of work.


12. CHANGE ORDERS


Any work requested outside the original scope may result in additional charges.


Additional work may be approved verbally, electronically, or in writing by the Customer and shall be billed accordingly.


13. CONFIDENTIALITY OF CUSTOMER ACCOUNTS


For privacy and security purposes, TUCK AIR, LLC will only discuss account information with:

  • The account holder;
  • Property owner;
  • Authorized representative listed on the account.
  • Requests to add authorized individuals must be submitted by the account holder.


14. MECHANIC'S LIEN RIGHTS


The Customer acknowledges that Mississippi law provides contractors and suppliers with certain lien rights for labor, services, materials, and equipment furnished to improve real property.


In the event of nonpayment, TUCK AIR, LLC reserves the right to pursue all remedies available under Mississippi law, including filing and enforcing a mechanic's lien.


TUCK AIR, LLC will make reasonable efforts to resolve unpaid balances before pursuing legal remedies.


Upon payment in full of all amounts owed, TUCK AIR, LLC will release any valid lien rights as required by law.


15. LIMITATION OF LIABILITY


To the maximum extent permitted by law, TUCK AIR, LLC's total liability for any claim arising from services performed shall not exceed the amount paid by the Customer for the specific service giving rise to the claim.


Under no circumstances shall TUCK AIR, LLC be liable for indirect, incidental, punitive, special, or consequential damages.


16. GOVERNING LAW


These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Mississippi. Any legal action arising from these Terms and Conditions shall be brought in a court of competent jurisdiction located within the State of Mississippi.


17. SEVERABILITY


If any provision of these Terms and Conditions is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.


18. ENTIRE AGREEMENT


These Terms and Conditions constitute the entire agreement between the Customer and TUCK AIR, LLC concerning the services provided and supersede all prior discussions, representations, or agreements.


19. CUSTOMER ACKNOWLEDGMENT


The Customer acknowledges that they have read, understood, and agreed to these Terms and Conditions. TUCK AIR, LLC reserves the right to modify these Terms and Conditions at any time without prior notice.
